Receivership
A receivership is a legal remedy used to protect and preserve a company’s assets during times of distress, litigation, or default. It can be initiated by a court, a lender, or voluntarily by the business itself, often as an alternative to bankruptcy. In this process, a neutral third party—the receiver—is granted control over the company’s operations, assets, and financial decision-making.

CMBG Advisors serves as a court-appointed or privately agreed receiver in both state and federal jurisdictions. Our experienced team assumes responsibility for managing assets, stabilizing operations, resolving disputes, and determining the most viable path forward—whether that means restoring viability, preparing for sale, or overseeing an orderly liquidation. We bring disciplined governance, financial transparency, and swift execution to each receivership engagement.

Case Study: Consumer Products Company – State Court Receivership
CMBG was appointed receiver for a family-owned household goods manufacturer facing internal shareholder litigation and severe cash flow constraints. We maintained operations, retained key staff, and completed a structured sale to a strategic buyer within 120 days—resulting in full payment to the secured creditor and a meaningful recovery for unsecured creditors.
Assignment for The Benefit
of Creditors (ABC)
An ABC is a state-law alternative to federal bankruptcy that allows an insolvent company to wind down in a more efficient, less costly, and less disruptive manner. In this process, the company assigns all of its assets to a third-party fiduciary (the assignee), who then liquidates the assets and distributes the proceeds to creditors in order of legal priority.

CMBG Advisors is a recognized leader in executing ABCs across a wide range of industries. With a deep understanding of statutory frameworks and stakeholder dynamics, we manage the process with discretion, speed, and strategic foresight. Our role includes overseeing asset disposition, communicating with creditors, managing claims, and providing clear reporting throughout. For owners and boards, an ABC offers closure with greater control and dignity than formal bankruptcy.

Case Study: Technology Startup –
ABC Wind-Down
A VC-backed SaaS platform with $25M in funding faced rapid cash burn and could not secure bridge financing. CMBG was appointed assignee and executed an ABC. We marketed and sold the core technology and customer contracts to a strategic buyer in under six weeks. Proceeds enabled partial repayment to unsecured creditors, and the process avoided the cost and delay of bankruptcy.

Restructuring & Out-of-Court Workouts
Restructuring is the process of renegotiating financial obligations and restructuring business operations to preserve enterprise value and avoid liquidation. At CMBG, we specialize in out-of-court restructurings that align the interests of debtors and creditors and allow businesses to remain operational while addressing their financial burdens.
We lead negotiations with lenders, landlords, trade creditors, and other stakeholders to craft customized repayment plans, restructured debt instruments, and strategic operational changes. Our goal is to maximize recovery for creditors while preserving jobs, contracts, and business continuity. By focusing on practical outcomes and consensus-driven solutions, we help companies move from crisis to stability.

Case Study: Specialty Distributor –
Out-of-Court Workout
A regional distributor of restaurant equipment faced loan covenant breaches and trade creditor pressure after COVID-related disruptions. CMBG negotiated a forbearance agreement with the lender, restructured $3M in payables, and implemented operational changes that returned the company to break-even within five months—avoiding court intervention.
Corporate Liquidation Services
When business recovery is no longer feasible, liquidation becomes the necessary next step. CMBG Advisors manages all aspects of corporate liquidation, whether through formal court processes or privately negotiated arrangements. We act as trustees, assignees, or liquidation agents, depending on the legal structure and stakeholder goals.

Our liquidation services cover:
-
Chapter 7 Bankruptcies – We support court-appointed trustees in liquidating assets, reconciling claims, and distributing proceeds.
-
ABC Transactions – We serve as the assignee to wind down operations efficiently and distribute value appropriately.
-
Out-of-Court Liquidations – We facilitate private asset sales and negotiated wind-downs to avoid litigation and reduce costs.
-

Every liquidation process is tailored to maximize value, ensure creditor transparency, and resolve outstanding liabilities with minimal disruption.
Case Study: Apparel Company – Out-of-Court Liquidation
A fashion brand with international trademarks and $6M in unsold inventory opted for a voluntary wind-down after its largest retail partners defaulted. CMBG led the out-of-court liquidation, selling inventory through multiple channels and licensing the brand IP. Proceeds covered secured obligations and paid a modest dividend to trade creditors—without litigation or formal insolvency.

Bankruptcy Consulting
& Support
Bankruptcy is often a last resort, but when it becomes necessary, expert guidance is critical. CMBG Advisors supports legal counsel, debtors, and creditor committees throughout Chapter 7 and Chapter 11 proceedings. We offer strategic consulting, operational oversight, and fiduciary services tailored to the demands of complex bankruptcy cases.

Our bankruptcy services include:

-
Chapter 7: Liquidation support, including asset identification, valuation, and sale coordination.
-
Chapter 11: Business restructuring under court protection, including plan development, DIP financing strategies, and operational continuity.
We help clients navigate trustee appointments, adversary proceedings, claim disputes, and plan confirmations with clarity and confidence.

Case Study: Medical Device Manufacturer – Chapter 11 Support
In a complex Chapter 11 proceeding, CMBG acted as financial advisor to the debtor, assisting in cash flow management, vendor negotiations, and preparation of financial disclosures. We helped structure a $10M DIP financing facility and supported a 363 sale that preserved 60 jobs and achieved a higher recovery than anticipated by the court.
Foreclosure & Article 9 Sales
When a borrower defaults, secured creditors have the right to enforce their liens through foreclosure or Article 9 sales under the Uniform Commercial Code. These remedies allow creditors to sell collateral without court supervision, often recovering more value than in bankruptcy.
CMBG Advisors manages every aspect of the Article 9 process, including:

-
Preparing compliant notices
-
Coordinating asset marketing and sale logistics
-
Facilitating private and public sales
-
Managing buyer diligence and closing logistics
-

We ensure that each transaction is conducted with legal integrity, process transparency, and maximum value recovery.

Case Study: Industrial Equipment Lender –
Article 9 Sale
A private lender repossessed collateral from a defaulted borrower in the logistics industry. CMBG coordinated a public Article 9 sale, marketed the assets nationally, and completed a sale that exceeded appraised value by 40%. The lender recovered 95% of the outstanding loan balance and avoided the costs of litigation.

From strategic workouts to final liquidations, CMBG Advisors is your trusted partner through every phase of business distress.
